Scope
These Terms govern your use of our website and any proposals, statements of work, or service agreements we enter into with you ("Agreements"). If an Agreement conflicts with these Terms, the Agreement controls.
Quotes & Services
Work is defined in writing (proposal/SOW). Estimates are not binding until accepted. Changes may require a change order.
Customer Responsibilities
- Provide accurate information, timely access, and required approvals.
- Maintain backups unless explicitly included in our scope.
- Comply with applicable laws and licensing.
Fees & Payment
Invoices are due as stated in the Agreement. Late payments may incur fees. Taxes, third‑party charges, and travel (if applicable) are your responsibility unless otherwise noted.
Confidentiality
Each party may access the other's confidential information and will protect it using reasonable measures. We may use anonymized, aggregated data to improve services.
Warranties & Disclaimers
Services are provided "as is" except as expressly stated in an Agreement. We disclaim implied warranties to the fullest extent permitted by law.
Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Our total liability is limited to the fees paid for the services giving rise to the claim.
Indemnification
You agree to indemnify and hold us harmless from claims arising from your misuse of the services or violation of these Terms.
Termination
Either party may terminate for material breach if not cured within a reasonable period. Upon termination, you pay for services rendered and non‑cancelable commitments.
Governing Law
These Terms are governed by the laws of your primary business location unless otherwise stated in an Agreement.
